Hi there! These terms outline how we work together when you choose Nevolut S.R.L. for your technology needs. We're a Romanian software company (CUI 52296007, EUID ROONRC.J2025059392001) based in Bucharest, specializing in building amazing digital solutions—from websites and mobile apps to AI integrations and cloud infrastructure.

When we say "Services," we mean everything we do for you. "Confidential Information" is any private data we share with each other, and "IP" refers to intellectual property—basically, who owns what we create together.

2. What We Do

We love building technology that makes a difference. Here's what we can create for you:

Every project includes thorough testing, deployment, and documentation—we don't just build it and leave you hanging!

3. Payment & Pricing

We keep payments simple and secure. You can pay via Stripe (credit card) or bank transfer according to your project timeline. If payments are late, we charge 1.5% monthly interest—but we'll always give you a heads up first.

Generally, payments are non-refundable since we're creating custom work just for you. Check our Refund Policy for specific situations where exceptions apply.

4. Project Timeline & Changes

We provide realistic timeline estimates, but software development can be unpredictable—sometimes we discover better solutions or run into unexpected challenges.

Want to change something mid-project? No problem! Just send us a written request, and we'll provide a change order with any cost and timeline adjustments. This keeps everyone on the same page.

5. Who Owns What

Once you've paid in full, you own all the custom code we create specifically for your project—it's yours to keep, modify, or expand.

We keep rights to our existing tools, frameworks, and any generic components we use (like open-source libraries). You also give us permission to use any materials you provide to complete your project.

6. Our Promise to You

We stand behind our work! For 90 days after delivery, we guarantee your project will work as specified and fix any significant bugs at no charge.

Beyond that, we can't promise perfection (no software is perfect!), but we're always here to help with ongoing support agreements.

7. Support & Maintenance

Post-launch support is available under separate agreements, detailing SLAs, response times, and fees.

8. Keeping Secrets

Your business ideas and data are safe with us. We won't share your confidential information with anyone unless you give us permission or the law requires it. We expect the same discretion from you regarding our methods and processes.

9. Indemnification

You indemnify us against claims arising from your materials or misuse of Services. We indemnify you against IP infringement claims from our work.

10. Reasonable Limits

We're responsible for our work, but we need to set reasonable limits. Our liability is capped at what you've paid us for the project. We can't be held responsible for indirect damages like lost profits or business interruption.

We provide services "as is"—we do our best work, but can't guarantee everything will be perfect forever.

11. Termination Rights

Either party may terminate with 30 days' notice. Upon termination, pay for completed work; IP transfers per Section 5.

12. When Life Happens

Sometimes uncontrollable events occur—natural disasters, pandemics, wars, or major infrastructure failures. If something like this affects our ability to deliver, we'll let you know immediately and work together to find a solution.

13. Your Privacy Matters

We take data protection seriously and follow GDPR and Romanian privacy laws. Check our Privacy Policy for details on how we handle your information. By working with us, you're agreeing to necessary data processing for project delivery.

14. Governing Law & Dispute Resolution

Governed by Romanian law. Disputes resolved in Bucharest courts or arbitration.

15. Amendments

Updates notified via email/site; continued use implies acceptance.

16. Severability & Entire Agreement

Invalid provisions don't affect others. This ToS is the full agreement, superseding priors.
